TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHOPT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities;
  • Loss of data or goodwill;
  • Costs of substitute goods or services;
  • Personal injury or property damage of any nature;
  • Unauthorized access to or alteration of your transmissions or data;
  • Any other damages arising out of or in connection with your use of the Services.

THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF CHOPT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN JURISDICTIONS WHERE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, CHOPT'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ANY CASE, CHOPT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CHOPT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Chopt and its parent company, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service;

  • Your violation of any third-party rights, including intellectual property rights or privacy rights;
  • Your violation of any applicable law, regulation, or government order;

Where applicable, the Federal Arbitration Act, federal consumer protection law, the Federal Trade Commission Act (FTC Act), and other applicable federal laws shall apply.

For customers located in California, these Terms are also subject to the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), and other applicable California state consumer protection laws.

Any legal action or proceeding arising under or relating to these Terms or your use of the Services that is not subject to arbitration shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue in such courts.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected] and providing a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute within thirty (30) days of receiving your notice. This informal dispute resolution process is a condition precedent to initiating any formal proceedings.

13.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any products purchased through our Site shall be resolved by binding arbitration administered by a recognized arbitration body, such as the American Arbitration Association (AAA), in accordance with its then-current Consumer Arbitration Rules.

The arbitration shall be conducted in English and, unless otherwise agreed, shall take place in the United States in a location mutually agreed upon by the parties. The arbitrator's award shall be final and binding, and judgment may be entered upon such award in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND CHOPT EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You and Chopt expressly waive the right to participate in class action lawsuits or class-wide arbitration. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

13.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.

14. Term and Termination

These Terms of Service shall remain in full force and effect for as long as you use or access our Services. We reserve the right to terminate or suspend your access to the Services, with or without notice, for any reason, including but not limited to:

  • Requests by law enforcement or other government agencies;

17. Force Majeure

In the event of a force majeure event, we will make reasonable efforts to notify you and to resume performance of our obligations as soon as reasonably practicable. If such an event continues for a period of thirty (30) days or more, either party may terminate any affected orders without liability, subject to refunding any prepaid amounts for unperformed services.

18. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, void, unenforceable, or in conflict with any applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, such provision shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall be construed as if the invalid, illegal, or unenforceable provision had never been included.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision herein. Notwithstanding the foregoing, if the class action waiver in Section 13.3 is found to be unenforceable, the entire arbitration agreement in Section 13 shall be null and void.

19. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Chopt on the Site, constitute the entire agreement between you and Chopt with respect to your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter.

No waiver by Chopt of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by Chopt to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms, or any rights or obligations under these Terms, without the prior written consent of Chopt. Any attempted assignment without such consent will be null and void. Chopt may assign these Terms or any rights or obligations hereunder at any time without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

21. Electronic Communications

By using our Services and providing us with your email address, you consent to receive electronic communications from Chopt, including but not limited to order confirmations, receipts, promotional materials, policy updates, and service-related notices. You agree that any notices, agreements, disclosures, or other communications we send to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
